Terms of Engagement

These Terms of Engagement set out the basis on which ZMS Advocates LLP provides legal services. They are incorporated into our client engagement letter and apply to all matters unless varied in writing.
1. Our services
We provide legal advice in our areas of practice as set out on this website. Our advice is specific to the matter for which we are engaged and should not be applied to other transactions or circumstances without our written confirmation.
2. Professional obligations
We are regulated by the Law Society of Kenya and bound by the Advocates Act, Cap. 16 and the LSK rules of professional conduct. We owe duties of confidentiality and loyalty to our clients.
3. Fees and billing
Our fees are agreed with you at the outset of each matter. We may charge on a time basis, a fixed fee, or a hybrid arrangement depending on the nature of the matter. We will not render any additional fees or disbursements outside the agreed scope without notifying you in advance.
4. Client duties
You agree to provide us with accurate, complete and timely instructions and all documents relevant to your matter. We are not responsible for delays caused by delayed instructions or information.
5. Termination
Either party may terminate the engagement by written notice. You remain liable for fees incurred up to the date of termination. We may terminate if required to do so by law or professional obligation.
6. Limitation of liability
Our liability to you for any claim arising from our services is limited to the amount of our professional indemnity insurance cover. We are not liable for consequential loss, loss of profit, or loss of business.
7. Governing law
These terms are governed by the laws of Kenya. Any dispute shall be submitted to the jurisdiction of the Kenyan courts.
